Terms of Service
Review the software usage boundaries, intellectual property protections, commercial agreements, and legal conditions of CYPHEX Agency.
1. Commercial Agreements & Intellectual Property
For custom engineering projects, the development relationship is governed by specific Statements of Work (SOWs) and commercial contracts:
- IP Transfer: Ownership and title to custom-engineered software, assets, and design layouts transfer to the Client upon receipt and clearance of all contract payments.
- Pre-Existing IP: CYPHEX retains ownership of pre-existing software structures, core libraries, and plugins deployed to accelerate custom development builds.
2. Software Usage Boundaries
For licensed plugins and subscription software:
- License Restrictions: Software must be used within the boundaries of active subscriptions. Decompiling, reverse engineering, or unauthorized distribution is strictly prohibited.
- Service Suspension: We reserve the right to suspend API token access if we detect license abuse or actions that degrade service stability.
3. Disclaimer of Warranties
Except as explicitly outlined in our active SLAs, all software, plugins, and custom builds are provided "as-is" and "as-available." We make no representations regarding the uptime of third-party platforms or APIs.
4. Governing Law
These terms are governed by and construed in accordance with applicable international commercial law standards. As a remote-first digital agency, any disputes arising from these Terms will be resolved through binding arbitration.
